DIGITAL PROMOTION SERVICE AGREEMENT This agreement is established between WorldwidePromotion.net, represented by Mercado Paralelo Music Ltda., CNPJ 09094904/0001-06, Sao Paulo, SP, Brazil, identified as PROMOTION COMPANY, and you, identified as CONTRACTOR. OBJECTIVE Digital delivery to artists, labels, radio stations, clubs, event promotores and other tastemakers in worldwide scope for 30 (thirty) days the material specified by the CONTRACTOR in the promotion request form. TERMS AND CONDITIONS CLAUSE 01 The CONTRACTOR must send to PROMOTION COMPANY the items below in digital files and named as follow: - Release tracks in .wav 44100 Hz, 16 Bit, Stereo, PCM format. File name example: 01-Artist X-Track Y (Remix Z) - Release artwork in .jpg format (minimum size: 600x600 pixels). File name example: Artwork.jpg The files must be sent in links by Sendspace (www.sendspace.com) or Rapidshare (www.rapidshare.com). CLAUSE 02 The CONTRACTOR guarantees the PROMOTION COMPANY that is the official representative of the material to be promoted and gives the PROMOTION COMPANY total rights to promote submitted material. The CONTRACTOR guarantees the PROMOTION COMPANY that not used any unauthorized sample in this music. If the CONTRACTOR infringed this copyright and submitted to us a material with unauthorized samples, is automatically assuming the full legal responsibility for this actions and the PROMOTION COMPANY not will be held responsible for any copyright issue regarding this material. CLAUSE 03 The PROMOTION COMPANY must supply to the CONTRACTOR a document with complete details about the digital promotion service. CLAUSE 04 The CONTRACTOR will receive from the PROMOTION COMPANY a monthly report containing name, venue (label, club, radio or similar), country and comment from every person that received and downloaded the material. CLAUSE 05 The PROMOTION COMPANY will supply the CONTRACTOR web page under the domain www.worldwidepromotion.net containing all information about the artist or label and release submitted on the promotion request process and a feedback form of obligatory fill for who want to download gratuitously the material. FEE The CONTRACTOR agrees to pay to the PROMOTION COMPANY the fee of 200 USD (two hundred American dollars) for this digital promotion service. VALIDITY, RESCISSION AND RENEWAL This agreement expires in 30 (thirty) days counted from the promotion service start date. The CONTRACTOR have 15 (fifteen) days counted from the expiration date to renew this agreement with an additional payment of 100 USD (one hundred American dollars) for more 30 (thirty) days of promotion services. After this period all related files including the private web page will be removed. Once removed the files if the CONTRACTOR want to renew this agreement will need to submit a new promotion request under the same conditions and rules, paying the regular full fee again. If for any reason the CONTRACTOR rescind this agreement within the promotion service period, the payment will not be refund and the rescinding part must inform the other part by email with up to 03 (three) business days of antecedence. Submitting this digital promotion request you are confirming agrees with this agreement and rules. For being in accordance, the parts recognize this digital document as legal and true, choosing the Forum of Judicial District of Sao Paulo, Brazil to clarify any doubts of this agreement.
